On this day 31 years ago, the Walt Disney Company officially announced its intention to acquire Capital Cities/ABC Inc. This monumental $19 billion transaction meant Disney would add the entire ABC television network, key affiliates, ABC radio networks, publishing enterprises, and much more to its rapidly expanding roster of business units.

Roots In 1954

This historic pairing actually had deep roots dating back over four decades. Long before the buyout, Walt Disney forged a crucial alliance with the television network to secure funding for his Anaheim theme park project. ABC provided a vital $500,000 investment and backed crucial loan guarantees in exchange for Walt producing a weekly television series. That early partnership saved Disneyland in its infancy and laid the groundwork for a much deeper corporate union decades later.

The Sun Valley Agreement

The modern incarnation of the deal came together with surprising speed in the summer of 1995. Disney CEO Michael Eisner and Capital Cities/ABC Chairman Thomas Murphy secretly negotiated the terms during private discussions. Warren Buffett, who held a massive stake in Capital Cities as its largest individual shareholder, played a pivotal behind-the-scenes role in smoothing the path for the transaction.

Expanding The Empire

By pulling off the acquisition, Disney instantly absorbed an empire that far exceeded traditional television broadcasting. The deal brought the entire ABC television network, local station affiliates, and extensive radio networks directly into the corporate fold. It also gave Disney dominant controlling stakes in powerhouse cable networks, most notably owning an 80 percent share of ESPN, along with major positions in A&E and Lifetime.

Beyond television, the acquisition absorbed a massive publishing enterprise spanning daily newspapers, consumer magazines, and specialized trade journals. This vast diversification ensured that Disney’s brand footprint touched virtually every major consumer medium available during the mid-1990s. The corporate DNA of the entire company shifted overnight from a family-friendly studio and park operator into a multimedia superpower.

Finalizing The Merger

Following federal regulatory reviews and required divestitures of certain local stations, the historic merger officially closed on February 9, 1996. It paved the way for modern executive leadership structures within the company and set a precedent for the massive media consolidation waves of the late 20th century.
